ARTICLE 1

PURPOSE

This Limited Warranty Policy describes the warranty applicable to Products manufactured by KarLev.

This Policy establishes the process for submitting warranty claims, the scope of warranty coverage, customer responsibilities, available remedies, and applicable limitations.

This Policy forms part of KarLev's contractual documentation together with the applicable Purchase Agreement, Sales Agreement, Manufacturing Agreement, Terms & Conditions, and any written Product Warranty issued by KarLev.

ARTICLE 2

SCOPE

This Policy applies solely to Products manufactured by KarLev unless otherwise stated in writing.

Certain Products, components, accessories, or equipment manufactured by third parties may be subject to separate warranty programs.

ARTICLE 3

WARRANTY COVERAGE

Subject to the terms of this Policy, KarLev warrants that its manufactured Products shall be substantially free from defects in workmanship and manufacturing quality under normal intended use during the applicable warranty period.

This Limited Warranty applies only to manufacturing defects existing at the time of delivery or arising from KarLev's manufacturing process.

This Limited Warranty does not guarantee that Products will remain free from ordinary wear, cosmetic changes, environmental effects, or damage caused after delivery.

ARTICLE 4

WARRANTY PERIOD

Unless otherwise stated in the applicable written agreement or Product Warranty Certificate, the applicable warranty period shall be specified in the executed purchase documentation.

If different warranty periods apply to different Product categories or components, those periods shall control for the applicable item.

ARTICLE 5

COMMENCEMENT OF WARRANTY

Unless otherwise stated in writing, the warranty period begins on the earliest of:

  • Product delivery;
  • Customer acceptance;
  • substantial completion of installation, where applicable; or
  • any other commencement date identified in the governing written agreement.
ARTICLE 6

PRODUCTS COVERED

Subject to this Policy, warranty coverage may apply to:

  • structural manufacturing;
  • factory fabrication;
  • factory assembly;
  • weld quality;
  • manufacturing workmanship;
  • factory-installed components supplied by KarLev; and
  • other covered manufacturing elements identified in the applicable written warranty.

Only the specific items identified in the applicable warranty documentation are covered.

ARTICLE 7

EXCLUSIONS

This Limited Warranty does not cover defects, failures, damage, or loss resulting from:

  • misuse;
  • abuse;
  • neglect;
  • improper storage;
  • improper transportation after delivery;
  • improper installation by parties not authorised by KarLev;
  • modifications not approved in writing by KarLev;
  • customer-requested design changes;
  • improper maintenance;
  • accidents;
  • vandalism;
  • theft;
  • fire;
  • flood;
  • earthquakes;
  • hurricanes;
  • lightning;
  • corrosion caused by environmental exposure;
  • normal wear and tear;
  • cosmetic ageing;
  • settlement;
  • movement of supporting structures;
  • acts of third parties;
  • utility failures;
  • force majeure events.
ARTICLE 8

CUSTOMER RESPONSIBILITIES

To maintain warranty eligibility, the Customer shall:

  • follow all applicable installation requirements;
  • properly maintain the Product;
  • avoid unauthorised modifications;
  • promptly report suspected defects;
  • provide reasonable access for inspection;
  • preserve the Product until inspection can occur where reasonably possible.

Failure to satisfy these responsibilities may affect warranty coverage to the extent permitted by applicable law.

ARTICLE 9

INSPECTION UPON DELIVERY

Customers should inspect Products promptly upon delivery.

Any visible shipping damage, shortages, or apparent manufacturing defects should be documented and reported within the period specified in the governing agreement or as otherwise required by applicable law.

Prompt reporting helps facilitate efficient investigation and resolution.

ARTICLE 10

REPORTING WARRANTY CLAIMS

Warranty claims should include, where reasonably available:

  • Customer name;
  • Order number;
  • Product identification;
  • installation address;
  • photographs;
  • description of the alleged defect;
  • date the issue was discovered; and
  • any other information reasonably requested by KarLev.

KarLev may request additional documentation necessary to evaluate the claim.

ARTICLE 11

WARRANTY INVESTIGATION

Upon receipt of a warranty claim, KarLev may conduct a reasonable investigation to determine whether the reported condition is covered under this Limited Warranty.

KarLev may, at its discretion, require one or more of the following:

  • photographs or videos;
  • supporting documentation;
  • proof of purchase;
  • serial numbers or product identification;
  • maintenance records;
  • access to the Product for inspection;
  • inspection by KarLev personnel or authorised representatives; or
  • any other information reasonably necessary to evaluate the claim.

The Customer agrees to cooperate in good faith throughout the warranty review process.

ARTICLE 12

WARRANTY REMEDIES

If KarLev determines that a defect is covered under this Limited Warranty, KarLev may, at its sole discretion and subject to applicable law:

  • repair the affected Product;
  • repair the defective component;
  • replace the defective component;
  • replace the Product with a comparable Product;
  • provide replacement materials;
  • provide replacement parts; or
  • provide another commercially reasonable remedy.

The remedy selected by KarLev shall constitute the Customer's exclusive remedy for a valid warranty claim, except to the extent otherwise required by applicable law.

ARTICLE 13

REPLACEMENT COMPONENTS

Replacement parts or components supplied under this Limited Warranty may be:

  • new;
  • refurbished;
  • reconditioned; or
  • functionally equivalent components of comparable quality and performance.

KarLev reserves the right to substitute components where the original component is unavailable, discontinued, or has been superseded by an improved version.

Replacement components shall not extend or restart the original warranty period unless otherwise required by applicable law or expressly stated in writing.

ARTICLE 14

THIRD-PARTY COMPONENTS

Certain Products may incorporate components manufactured by third parties, including but not limited to:

  • windows;
  • doors;
  • roofing materials;
  • plumbing fixtures;
  • electrical equipment;
  • HVAC equipment;
  • appliances;
  • hardware; or
  • other purchased components.

Where a third-party manufacturer provides its own warranty, that warranty shall apply in accordance with its terms.

KarLev does not enlarge, modify, or assume responsibility for warranties issued by third-party manufacturers.

ARTICLE 15

TRANSPORTATION, ACCESS & LABOUR

Unless expressly stated otherwise in the applicable written warranty or required by applicable law, this Limited Warranty does not automatically include:

  • transportation costs;
  • shipping costs;
  • expedited freight;
  • crane services;
  • lifting equipment;
  • site preparation;
  • demolition;
  • removal of finished materials;
  • temporary housing;
  • travel expenses;
  • access costs;
  • permits;
  • engineering fees;
  • architectural fees; or
  • labour performed by third parties.

Any such costs shall be governed by the applicable written agreement or separate written authorisation.

ARTICLE 16

LIMITATION OF WARRANTY

This Limited Warranty applies only to the original Product supplied by KarLev.

Except where prohibited by applicable law, this Limited Warranty does not guarantee:

  • uninterrupted performance;
  • freedom from cosmetic imperfections;
  • compatibility with third-party products;
  • future regulatory approval;
  • future code compliance following changes in law;
  • increased property value;
  • investment performance;
  • energy savings beyond those expressly warranted in writing; or
  • suitability for uses other than those intended.
ARTICLE 17

DISCLAIMER OF OTHER WARRANTIES

Except to the extent prohibited by applicable law, this Limited Warranty is the sole and exclusive warranty provided by KarLev with respect to the applicable Product.

Any implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, are limited to the extent permitted by applicable law and, where such limitations are not permitted, shall apply only to the minimum extent required by law.

Nothing in this Policy excludes or limits rights that cannot legally be excluded under applicable law.

ARTICLE 18

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, KarLev shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to any Product or warranty claim, including but not limited to:

  • lost profits;
  • loss of business;
  • loss of use;
  • loss of rental income;
  • financing costs;
  • delays;
  • project interruption;
  • diminished property value;
  • loss of opportunity; or
  • other consequential economic losses.

Nothing in this Policy excludes liability that cannot lawfully be excluded or limited.

ARTICLE 19

TRANSFERABILITY

Unless expressly provided in a written Product Warranty or required by applicable law, this Limited Warranty is personal to the original purchaser and is not transferable upon resale, assignment, lease, or transfer of the Product or the property upon which the Product is installed.

Any authorised transfer must be approved in writing by KarLev.

ARTICLE 21

GOVERNING AGREEMENT

In the event of any inconsistency between this Limited Warranty Policy and an executed Purchase Agreement, Manufacturing Agreement, Sales Agreement, or Product Warranty Certificate, the executed agreement or Product Warranty Certificate shall control with respect to the specific Product and transaction, except where prohibited by applicable law.

ARTICLE 22

CHANGES TO THIS POLICY

KarLev reserves the right to amend this Limited Warranty Policy from time to time. Any amendment shall apply prospectively and shall not reduce warranty rights already granted under an executed agreement or written warranty unless permitted by applicable law and agreed to by the affected customer where required.

ARTICLE 23

EFFECTIVE DATE

This Limited Warranty Policy is effective as of the Effective Date listed above and shall remain in effect until amended or replaced by KarLev.
